Terms for using Ofper

The rules and responsibilities that apply when you use the platform.

1) Acceptance of Terms

By accessing or using the Ofper platform ("Platform"), you agree to be bound by these Terms of Use. If you do not agree, do not use the Platform.

Ofper is a B2B marketplace that connects buyers with verified suppliers. These terms govern your use of the Platform, including browsing, account creation, listing products or services, submitting RFQs, messaging, and transacting.

2) Account Registration and Eligibility

2.1 Eligibility

You must be at least 18 years old and authorized to act on behalf of the business entity you represent. By creating an account, you confirm that the information you provide is accurate and that you have the authority to bind the entity to these terms.

2.2 Account Types

  • Buyer accounts: Free to create. No subscription required.
  • Supplier accounts: Free to start. Higher verification tiers may require processing fees.
  • Company accounts: Represent a legal business entity. Subject to verification.

2.3 Account Security

You are responsible for maintaining the confidentiality of your login credentials. Notify us immediately if you suspect unauthorized access. Ofper is not liable for losses resulting from unauthorized use of your account.

3) Verification System

3.1 Overview

Ofper operates a multi-tier verification system. Verification is based on document review, not payment. Payment affects processing speed only, never approval outcomes.

3.2 Verification Tiers

  • Unverified: Browse and search only. Limited messaging.
  • Basic Verified: Identity confirmed via government-issued documents and business registration.
  • Enhanced Trust: Business deeply verified with corporate documentation, trade history, and certifications.
  • Premium Trust: Highest tier. Includes on-site audit verification.

3.3 Badge Expiry

Verification badges have expiry dates and must be renewed. Expired badges revert the account to the previous tier until renewal is completed.

3.4 Accuracy of Documents

You warrant that all documents submitted for verification are authentic and current. Submitting fraudulent documents will result in immediate account suspension and potential legal action.

4) Marketplace Rules

4.1 Listings

Suppliers may create product and service listings subject to Platform guidelines. Listings must be accurate, not misleading, and comply with applicable laws. Ofper reserves the right to remove listings that violate these terms.

4.2 RFQs (Requests for Quotation)

Buyers may post RFQs describing their requirements. RFQs are matched to qualified suppliers via automated scoring. Suppliers who receive RFQ notifications may choose whether to respond.

4.3 Messaging

All communication between buyers and suppliers must occur through the Platform. Sharing contact information to circumvent the Platform is prohibited until a transaction relationship is established.

4.4 Prohibited Conduct

  • Misrepresenting your identity, business, or products
  • Posting spam, duplicate, or misleading listings
  • Attempting to manipulate search rankings or seller scores
  • Using the Platform for illegal activities
  • Harvesting user data or scraping content without authorization

5) Transactions and Payments

5.1 Platform Role

Ofper facilitates connections between buyers and suppliers. Ofper is not a party to transactions between users unless explicitly stated. Purchase agreements are between the buyer and supplier.

5.2 Pricing

Suppliers set their own prices. Ofper does not control or guarantee pricing accuracy. Buyers should verify pricing, shipping costs, duties, and taxes directly with suppliers.

5.3 Disputes

Ofper provides a structured dispute resolution process with time-bound SLAs. Both parties agree to participate in good faith. Ofper's dispute resolution decisions are advisory unless both parties agree otherwise.

6) Intellectual Property

6.1 Platform Content

The Platform, including its design, code, and content, is owned by Ofper and protected by intellectual property laws. You may not copy, modify, or distribute Platform content without permission.

6.2 User Content

You retain ownership of content you submit (listings, descriptions, images). By submitting content, you grant Ofper a non-exclusive, worldwide license to display, distribute, and promote your content on the Platform.

6.3 Infringement

If you believe content on the Platform infringes your intellectual property rights, contact us with details of the claimed infringement.

7) Privacy and Data

Your use of the Platform is also governed by our Privacy Policy. By using the Platform, you consent to the collection and use of data as described in the Privacy Policy.

All AI features on the Platform use PII-redacted data with a zero-retention policy.

8) Limitation of Liability

8.1 Disclaimer

The Platform is provided "as is" without warranties of any kind, express or implied. Ofper does not guarantee uninterrupted access, error-free operation, or specific outcomes from use of the Platform.

8.2 Liability Cap

To the maximum extent permitted by law, Ofper's total liability for any claim arising from your use of the Platform is limited to the amount you paid to Ofper in the 12 months preceding the claim, or $100 USD, whichever is greater.

8.3 Exclusions

Ofper is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

9) Termination

9.1 By You

You may close your account at any time by contacting support. Outstanding obligations survive termination.

9.2 By Ofper

Ofper may suspend or terminate your account for violation of these terms, fraudulent activity, or any reason at our discretion with reasonable notice. In cases of fraud or illegal activity, termination may be immediate.

10) Changes to Terms

Ofper may update these terms at any time. Material changes will be communicated via email or Platform notification. Continued use after changes take effect constitutes acceptance.

11) Governing Law

These terms are governed by and construed in accordance with applicable law. Any disputes will be resolved through binding arbitration or in the courts of competent jurisdiction.
